BuzzGage Terms of Service

Effective date: April 01 2025

These Terms of Service (“Terms”) govern access to and use of the BuzzGage platform and related services (the “Service”). By signing an order form, pilot agreement, statement of work, or by using the Service, the contracting customer (“Customer”) agrees to these Terms.

If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization.

 

1. Definitions

  • BuzzGage” means BuzzGage Inc., the provider of the Service.

  • Customer” means the contracting entity, which may be a school, school network, district, ministry of education, international education body, or other authorized education organization.

  • Authorized Users” means Customer’s employees and contractors authorized to access the Service, including administrators and staff.

  • Student Voice Data” means anonymous student survey responses collected through the Service.

  • Customer Data” means data provided by or on behalf of Customer to the Service, including school profile data and administrator account data.

  • Insights” means aggregated outputs, dashboards, analytics, and reports generated by the Service from Student Voice Data and Customer Data.

  • Order Form” means any ordering document, pilot agreement, or statement of work that references these Terms and describes scope, fees (if any), and term.

2. Scope of Service

​

BuzzGage provides AI-supported tools for collecting student voice feedback and producing aggregated insights to support school improvement, learner experience, and whole-child development practices.

The Service is designed to provide aggregated reporting and does not provide student-level profiling or individual student reporting.

3. Customer Roles and Data Processing
​

For the purposes of data protection laws:

​

  • Customer acts as the Data Controller for the scope of its deployment.

  • BuzzGage acts as the Data Processor, processing Customer Data and Student Voice Data to provide the Service.

​

Where multiple entities participate (for example a ministry and participating schools), responsibilities and access scope are defined in the Order Form and governance model established by Customer.

4. Accounts and Authorized Users
​

Customer is responsible for:

​

  • Designating Authorized Users and ensuring they use the Service in compliance with these Terms.

  • Maintaining the confidentiality of login credentials and restricting access to authorized personnel.

  • Promptly notifying BuzzGage of any suspected unauthorized access.

 

BuzzGage may suspend accounts that present security risk or violate these Terms.

5. Student Voice Data and Collection Rules
​

Customer agrees that student participation must be managed in alignment with applicable safeguarding and education requirements. Customer is responsible for providing any required notices, permissions, or consents under local law.

BuzzGage’s current collection model is designed to avoid collection of direct student identifiers and does not require student accounts.

6. System-Level Reporting and Institutional Access
​

When Customer is an institutional body overseeing multiple schools (for example a network, district, ministry, or international education body):

​

  • Institutional users may access system-level aggregated insights only, limited to the schools within the defined scope of the deployment.

  • Institutional users do not receive student-level data.

  • Institutional users do not receive school-level breakdowns by default unless explicitly agreed in writing in the Order Form and governance model.

 

Reporting safeguard: BuzzGage will not display results unless minimum cohort thresholds are met. Customer acknowledges the current minimum group size threshold is 100 students for reporting.

 

BuzzGage supports trend analysis over time across engagement cycles, subject to the same reporting safeguards.

7. Acceptable Use
​

Customer and Authorized Users will not:

​

  • Attempt to identify any student or re-identify individuals from aggregated insights.

  • Upload or enter student names, emails, student IDs, or other direct identifiers into the Service.

  • Use the Service to make automated high-stakes decisions about individuals.

  • Reverse engineer, interfere with, or disrupt the Service, including attempting to bypass reporting safeguards or access controls.

  • Use the Service in a way that violates applicable laws or school safeguarding obligations.

8. Confidentiality
​

Each party may receive confidential information from the other party. Each party agrees to:

​

  • Protect confidential information using reasonable safeguards.

  • Use it only for purposes of performing under these Terms.

  • Not disclose it to third parties except as required for performance, with confidentiality obligations in place, or as required by law.

 

Confidentiality does not apply to information that is publicly available without breach, independently developed, or lawfully received from a third party.

9. Data Protection and Privacy

 

BuzzGage will process data in accordance with:

​

  • These Terms

  • The BuzzGage Privacy Policy

  • Any applicable data processing addendum (“DPA”) agreed with Customer

 

BuzzGage will host the Service on Google Cloud using a multi-region infrastructure. BuzzGage does not use external analytics, advertising, or tracking vendors to process Student Voice Data or generate insights.

10. Security and Incident Notification

 

BuzzGage applies safeguards designed to protect Customer Data and Student Voice Data, including encryption in transit and access controls for authorized personnel.

​

If BuzzGage confirms a personal data breach affecting Customer account data, BuzzGage will notify Customer without undue delay and within 60 days of confirmation, consistent with contractual commitments and applicable legal requirements.

11. Data Retention and Deletion

 

Unless otherwise stated in the Order Form:

​

  • BuzzGage retains Customer Data and Student Voice Data for up to 2 years.

  • Customer may request deletion at any time. BuzzGage will process deletion requests immediately within operational constraints required to complete removal across systems.

 

Customer understands that deletion may impact the ability to provide historical trends.

12. Intellectual Property
​

BuzzGage retains all rights, title, and interest in the Service, including its technology, software, models, workflow designs, and documentation.

Customer retains all rights in Customer Data.

​

BuzzGage grants Customer a limited, non-exclusive, non-transferable right to access and use the Service during the term, solely for Customer’s internal educational purposes.

13. Feedback
​

If Customer provides feedback, suggestions, or evaluation inputs, BuzzGage may use them to improve the Service. BuzzGage will not publish Customer’s confidential information or identify Customer publicly without written permission.

14. Fees and Payment
​

If fees apply, they will be stated in the Order Form. Unless otherwise stated:

​

  • Fees are payable within [30] days of invoice.

  • Fees are non-refundable except as required by law or expressly agreed in writing.

 

If this deployment is a pilot or evaluation, the Order Form should specify whether it is non-commercial, time-bound, and what happens at the end of the pilot.

15. Term and Termination
​

These Terms begin on the start date in the Order Form and continue for the term stated.

 

Either party may terminate:

​

  • For material breach if not cured within [30] days of written notice.

  • Immediately if the other party becomes insolvent or ceases operations.

​

Upon termination:

​

  • Customer access to the Service ends.

  • Data handling and deletion will follow Section 11, unless otherwise agreed in writing.

16. Disclaimers
​

The Service provides aggregated insights to support school improvement and institutional reflection. Customer remains responsible for how insights are interpreted and used in practice.

​

Except as expressly stated in the Order Form, the Service is provided “as is” and “as available,” and BuzzGage disclaims warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

17. Limitation of Liability

 

To the maximum extent permitted by law, BuzzGage will not be liable for indirect, incidental, special, consequential, or punitive damages. BuzzGage’s total liability arising out of or related to the Service will not exceed an amount equal to two (2) months of the fees paid or payable for the Service.

18. General Terms

​

  • Governing law: These Terms are governed by the laws of [Insert jurisdiction], without regard to conflict of law rules.

  • Assignment: Neither party may assign these Terms without the other party’s written consent, except to an affiliate or in connection with a merger or sale of substantially all assets.

  • Changes: BuzzGage may update these Terms with notice. Updates apply prospectively.

  • Notices: Notices must be sent to the contacts listed in the Order Form or by email to mc@buzzgage.org for BuzzGage notices.

  • Entire agreement: These Terms and the Order Form form the entire agreement and supersede prior discussions regarding the Service. If there is a conflict, the Order Form controls for scope and commercial terms.
